Apogee went public in 2023, with an initial public offering (IPO) price of $17 per share.

Based in Waltham, Massachusetts, Apogee develops medications targeting inflammation and immunology. Its biologic medicines aim for validated targets while improving efficacy and dosing. The most advanced program is zumilokibart, an antibody poised to enter Phase 3 trials for atopic dermatitis, also known as eczema. This drug is designed to target IL-13, a signaling protein involved in inflammation.

Apogee has engineered zumilokibart to have a longer half-life, facilitating subcutaneous injection administration every three or six months, compared to many biologics for atopic dermatitis that require administration every two to four weeks. The product also has potential applications, with mid-stage studies planned to evaluate its use in treating asthma and eosinophilic esophagitis.

Zumilokibart may also have a role in drug combinations. The company is testing the IL-13 inhibitor in combination with APG990, a long half-life antibody designed to inhibit OX40L, a protein involved in immune and inflammatory responses. This combination, known as APG279, is currently in Phase 1 testing.

Another combination program, APG273, pairs zumilokibart with APG333, an antibody aimed at blocking TSLP, a protein targeted by various biopharmaceutical companies with longer-acting antibodies. APG273 is in preclinical development for the treatment of asthma and chronic obstructive pulmonary disease (COPD). In announcing the acquisition of Apogee, AbbVie noted that the agreement accelerates its presence in respiratory drug research and development.

“The acquisition of Apogee builds on our existing leadership, enhancing our ability to provide innovative medicines to patients in need of better options while also creating significant long-term value for shareholders,” stated Robert Michael, AbbVie’s CEO, in a prepared statement. “Apogee’s portfolio adds highly differentiated clinical-stage assets, thereby expanding our robust immunology portfolio in areas where there are significant patient needs, including atopic dermatitis and asthma.”

Immunology remains AbbVie’s largest therapeutic area. The company’s leading medication in immunology and inflammation is Skyrizi, an antibody designed to block IL-23 by binding to p19, a subunit of the protein. Skyrizi is approved for managing plaque psoriasis, psoriatic arthritis, Crohn’s disease, and ulcerative colitis. AbbVie’s presence in atopic dermatitis is facilitated by Rinvoq, an oral small molecule that inhibits JAK proteins, although products in the JAK inhibitor class carry black box warnings for increased cancer and cardiovascular risks.

In a research note published on Monday, William Blair analyst Matt Phipps characterized the purchase price of Apogee as “quite high,” but also noted that zumilokibart aligns clearly with AbbVie’s expertise in immunology and inflammation, while offering a path for expansion into respiratory indications. Last month, Apogee entered a royalty agreement with Blackstone Life Sciences to secure non-dilutive funding for the clinical development of zumilokibart. Phipps stated that the timing of the acquisition will allow AbbVie to expedite the Phase 3 development of Apogee’s lead drug and potentially reduce future royalty obligations to Blackstone.

Apogee was formed in 2022 as a spin-off from Paragon Therapeutics, Fairmount Funds’ biopharmaceutical discovery engine. It was the first startup from Paragon and the first of these companies to go public. Since then, Paragon has spawned five additional firms.

The acquisition of Apogee marks AbbVie’s largest merger and acquisition since 2024, when it completed the $10.1 billion purchase of Immunogen, a specialist in antibody-drug conjugates for cancer. AbbVie’s largest acquisition to date was its $63 billion buyout of Allergan, the maker of Botox, which now forms the aesthetic division of AbbVie. The boards of both AbbVie and Apogee have approved the agreement, which is still subject to regulatory and shareholder approval. The companies expect to finalize the transaction in the third quarter of this year.

Photo: Collection Smith/Gado, Getty Images

AbbVie has significantly strengthened its already prominent position in immunology by acquiring Apogee Therapeutics, a…

[19

post-2081","post","type-post","status-publish","format-standard","has-post-thumbnail","hentry","category-biopharma
["GET
